LEGALLY BINDING NOTICE: This Refund and Cancellation Policy is a binding legal document governing all financial transactions on the Saminus AI Platform. By subscribing to or purchasing any service, the User unconditionally accepts all clauses herein. This policy is specifically drafted to apply to Business-to-Business (B2B) commercial relationships under Indian law and is non-negotiable except by a separately executed, written agreement signed by an authorized director of Saminus Private Limited.
1. FUNDAMENTAL B2B COMMERCIAL NATURE — E-COMMERCE RULES EXEMPTION
STATUTORY DECLARATION: Saminus Private Limited operates exclusively on a B2B model. Standard consumer protection refund provisions do not apply.
Saminus Private Limited operates exclusively as a Business-to-Business (B2B) Software-as-a-Service (SaaS) provider. All subscriptions, Add-on purchases, and service engagements are entered into by registered commercial entities, not individual consumers.
Accordingly, the following regulatory frameworks do NOT apply to transactions on this Platform:
- The standard 14-day / 30-day consumer cooling-off refund window as commonly associated with B2C e-commerce transactions.
- The Consumer Protection (E-Commerce) Rules, 2020 — which apply exclusively to Business-to-Consumer (B2C) e-commerce transactions as per their stated scope (Rule 2(b)).
- General consumer protection provisions under the Consumer Protection Act, 2019 — which apply to a "consumer" defined as one who purchases goods/services for personal use and not for commercial resale or business purposes (Section 2(7)).
By subscribing, the User formally acknowledges they are acting in a commercial capacity and that this B2B transaction is governed exclusively by the Indian Contract Act, 1872, and the terms set out in this Policy.
2. ACTIVATION OF DIGITAL SERVICE — IMMEDIATE CONSUMPTION DECLARATION
The User expressly acknowledges and agrees that upon successful payment and account activation:
- The digital SaaS service is immediately activated and provisioned to the User's account — including QR code generation capabilities, AI Chatbot slots, dashboard access, and all subscribed feature sets.
- The service is consumed from the moment of digital delivery (i.e., account activation), and not at any later point.
- Because the core deliverable is a non-tangible digital software service that is provided instantaneously and irreversibly upon subscription, the nature of the transaction is akin to the purchase of a non-returnable, non-refundable digital licence under the Indian Contract Act, 1872.
- The User accepts full responsibility for verifying that the Platform meets their technical requirements and business needs before completing a purchase. Saminus AI offers publicly accessible feature documentation, pricing pages, and a free/trial tier where applicable for this purpose.
3. REFUND ELIGIBILITY — STRICT & LIMITED GROUNDS
Refunds are considered and granted ONLY under the following explicitly defined, objectively verifiable circumstances:
ELIGIBLE FOR REFUND
- Duplicate / Double Charge: A verifiable technical error by our payment gateway (Razorpay/PhonePe) resulting in a confirmed duplicate transaction for the identical subscription within the same billing cycle. Proof via transaction ID and bank statement is mandatory.
- Platform Non-Delivery: The Saminus AI core dashboard and all primary subscribed features are entirely inaccessible due to a verified internal server failure on Saminus infrastructure for a continuous, uninterrupted period of more than 7 consecutive business days, and the issue has been formally logged with our Support team during that period.
- Wrong Plan Billed: A demonstrably different plan from the one selected by the User was activated on the account due to a confirmed billing system error (not user error), reported within 24 hours of the transaction.
STRICTLY NOT ELIGIBLE FOR REFUND
- Change of mind, business decision reversal, or buyer's remorse after subscription activation.
- Failure to achieve expected business results, ROI, Google review counts, or SEO rankings.
- Partial utilization of the subscription — any portion of the billing cycle used is fully consumed.
- Non-usage of the Platform after activation due to User's own neglect, staff unavailability, or internal business issues.
- Dissatisfaction with the AI Chatbot's responses, which are generated by AI and depend on the quality of the training data provided by the User.
- Google Maps review filtering or removal by Google's own algorithm.
- Any Add-on that has been activated and whose limits have been partially or fully consumed.
- One-time Setup Fees, Onboarding Fees, or Custom Development Charges — regardless of the outcome.
- Upgrade transactions — where a plan upgrade has been processed at a pro-rated discounted amount.
4. NON-REFUNDABLE ITEMS — ABSOLUTE & UNCONDITIONAL
The following categories of purchases are absolutely and unconditionally non-refundable under all circumstances, without exception:

5. SUBSCRIPTION CANCELLATION POLICY
Users may cancel their subscription at any time through the Platform dashboard. The following terms govern cancellation:
- No Mid-Cycle Refund: Cancellation takes effect at the end of the current billing cycle. No pro-rated or partial refund is issued for the remaining days of the cancelled subscription period.
- Data Access Post-Cancellation: Following cancellation, User data and configurations are accessible in read-only mode for 30 days, after which the account is permanently deactivated and data deleted in accordance with the Privacy Policy.
- Auto-Renewal: Subscriptions are set to auto-renew by default. Users are responsible for cancelling auto-renewal at least 48 hours before the renewal date to avoid being charged for the next cycle. Failure to cancel before renewal does not constitute grounds for a refund of the renewed amount.
- Agency Sub-Account Termination: If an Agency Owner cancels their subscription, all associated sub-accounts are simultaneously deactivated. No individual refunds are issued for sub-accounts in this scenario.
6. FORCE MAJEURE & THIRD-PARTY API DISRUPTIONS — EXPLICIT REFUND EXCLUSION
THIRD-PARTY DEPENDENCY DISCLAIMER: Service disruptions caused by external providers are not grounds for refund under any circumstances.
The Saminus AI Platform integrates with various third-party service providers to deliver its full feature set. The following disruption scenarios are entirely and explicitly excluded from any refund or service credit eligibility:

None of the above events shall entitle the User to a refund, service credit, extension of subscription, or any other form of compensation. The Company will make commercially reasonable efforts to restore service during such events but bears no contractual obligation to do so within a specific timeframe.
7. CHARGEBACK FRAUD WARNING — RBI GUIDELINES & CRIMINAL LIABILITY
FORMAL LEGAL WARNING — READ CAREFULLY: Initiating a fraudulent or unjustified chargeback is a criminal act under Indian law. Saminus Private Limited will pursue every available legal remedy without exception.
A "chargeback" is a payment reversal initiated by a User directly with their bank or card issuer, bypassing the Company's established Grievance and Refund Process. Saminus Private Limited treats any chargeback initiated without first exhausting the Grievance process set out in Section 9 as a fraudulent financial dispute and will respond as follows:
- Immediate Account Suspension: Upon receipt of a chargeback notification, the User's account shall be immediately and permanently suspended with no notice, and all data access shall be revoked.
- Permanent Blacklisting: The User's name, business entity, GST number, email address, phone number, IP address, and device fingerprint shall be permanently blacklisted from the Saminus AI Platform. The User shall be prohibited from creating new accounts directly or via associated entities.
- Evidence Submission: The Company shall compile and submit comprehensive evidence to the payment gateway (Razorpay/PhonePe) including server logs, feature usage records, login timestamps, transaction confirmations, and communications demonstrating valid service delivery. Payment gateways routinely rule in favour of merchants with documented evidence in B2B SaaS disputes.
- Recovery of Chargeback Fees: All bank-imposed chargeback processing fees, typically ranging from ₹500 to ₹2,500 per dispute, shall be recovered from the User as a debt via legal proceedings.
- Criminal Prosecution: A fraudulent chargeback where service was demonstrably delivered constitutes:
- Cheating under Section 318 of the Bharatiya Nyaya Sanhita (BNS), 2023.
- Criminal Misappropriation under Section 314 of the BNS.
- Financial Fraud reportable to the RBI Ombudsman and cyber crime cell under the Payments & Settlement Systems Act, 2007.
- Civil suit for recovery of the full transaction amount, legal costs, and consequential damages.
- Reporting to Authorities: The incident, along with the User's complete KYC details and transaction history, shall be reported to the National Cyber Crime Reporting Portal (cybercrime.gov.in) and, where applicable, to the User's local police station for FIR registration.
For the avoidance of doubt: A chargeback initiated after the User has already received a refund through our official process shall constitute double-recovery fraud and attract the most stringent legal consequences available.
8. REFUND PROCESS — HOW TO APPLY
If you believe your situation qualifies for a refund under the limited grounds specified in Section 3, you must follow the following mandatory process:
- Submit a Written Request: Send an email to refunds@saminusai.com from your registered account email address within 48 hours of the triggering event.
- Mandatory Information: Your request must include: (a) Full name and registered business name; (b) Account email address; (c) Transaction ID(s); (d) Bank reference / UPI reference; (e) A precise, factual description of the issue with supporting evidence (bank statement, screenshot of error, etc.).
- Internal Review Period: The Company will acknowledge your request within 24 hours and complete an internal review within 7 business days.
- Decision Communication: You will receive a final written decision via email. The Company's decision on refund eligibility is final and binding.
- Refund Processing (if approved): Approved refunds shall be processed back to the original payment source only within 5–10 business days of approval, subject to payment gateway processing times. Refunds are not issued in cash, via bank transfer to a different account, or as platform credits unless otherwise explicitly agreed.
9. MANDATORY GRIEVANCE PROCESS BEFORE LEGAL ACTION
This clause is a mandatory condition precedent to any legal, arbitral, or regulatory proceedings. Before initiating any legal action or lodging any complaint with a government authority regarding a refund dispute, the User is legally required to:
- Submit a formal, written grievance to the Company's Grievance Officer at grievance@saminusai.com.
- Allow a minimum of 15 working days for the Grievance Officer to review and respond.
- Escalate unresolved grievances to the senior management in writing, allowing a further 7 working days.
Failure to comply with this mandatory pre-litigation grievance process shall be raised as a preliminary objection by the Company in any legal or regulatory proceedings, and may result in cost sanctions against the User for premature filing.
10. GOVERNING LAW & EXCLUSIVE JURISDICTION
This Refund and Cancellation Policy shall be governed by and construed in accordance with the laws of the Republic of India, including the Indian Contract Act, 1872; the Information Technology Act, 2000; the Payments and Settlement Systems Act, 2007; the Bharatiya Nyaya Sanhita, 2023; and all applicable RBI Guidelines and Circulars.
Any and all disputes arising out of or in connection with this Policy shall be subject to the exclusive jurisdiction of the competent courts in Hisar, Haryana, India. Both parties irrevocably submit to the personal jurisdiction of such courts and waive any objection to venue.
